Effective

About these Terms

These Terms of Use ("Terms") govern your access to and use of https://aeday.com, the Aeday website, member portal, eligibility tools, and related online services (collectively, the "Site").

The Site is operated by Aeday LLC, doing business as Aeday ("Aeday," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms. If you purchase an Aeday membership, your membership and representation services are also governed by the Membership Service Agreement and the applicable Plan Schedule. If there is a conflict concerning membership coverage, billing, or representation services, the Membership Service Agreement and Plan Schedule control.

1. Eligibility to use the Site

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Site or enroll in a membership.

You agree to provide accurate, current, and complete information. Eligibility results depend on the information you provide and may be corrected if information is inaccurate, incomplete, or misleading.

2. The Site does not itself provide tax or legal advice

General information, questionnaires, illustrations, FAQs, advertising, calculators, examples, and educational content on the Site are provided for general informational purposes.

They are not individualized tax advice, legal advice, an opinion regarding the merits of a tax matter, or a guarantee of any particular result.

Professional representation begins only when:

  1. you have an active membership with representation coverage in effect;
  2. you submit a Request for Representation;
  3. Aeday determines that the matter is covered; and
  4. any required professional engagement, authorization, or power-of-attorney documentation is completed.

3. Membership terms

Aeday memberships are recurring subscriptions.

The price, introductory pricing, renewal frequency, coverage start date, coverage terms, cancellation terms, and exclusions shown to you at enrollment form part of your agreement.

The exact price and renewal terms displayed and affirmatively accepted at checkout control.

See the Membership Service Agreement, applicable Plan Schedule, and Payments, Cancellation & Refund Policy.

4. Accounts and security

You are responsible for safeguarding your login credentials, maintaining accurate contact information, protecting access to your email and devices, and promptly notifying us of suspected unauthorized account access.

You may not share an account in a manner that circumvents plan eligibility or permits another person to receive services not included in the membership.

5. Acceptable use

You may not use the Site to:

  • submit false, altered, forged, fraudulent, or misleading documents;
  • conceal when a tax notice, audit, examination, or other matter began;
  • seek coverage for a known pre-existing matter by misrepresenting dates or facts;
  • impersonate another person;
  • gain unauthorized access to systems or accounts;
  • interfere with Site security;
  • introduce malware or harmful code;
  • infringe intellectual-property or privacy rights; or
  • use the Site in violation of law.

Aeday may suspend access when reasonably necessary to investigate suspected fraud, security threats, misuse, or material breaches of these Terms.

6. Intellectual property

The Site, Aeday branding, text, graphics, interface, software, designs, logos, and other content are owned by or licensed to Aeday and are protected by applicable intellectual-property laws.

Aeday grants you a limited, revocable, non-exclusive, non-transferable license to use the Site for your personal use in connection with Aeday services.

7. Third-party services

The Site may rely on third-party providers for hosting, payments, identity verification, communications, analytics, security, and other functions.

Third-party services may be governed by their own terms and privacy policies.

8. Electronic communications

By using the Site or creating an account, you consent to receive transactional communications electronically, including enrollment confirmations, billing receipts, renewal notices where required, cancellation confirmations, security notices, service communications, and communications concerning a submitted tax matter.

Marketing communications may be opted out of using the unsubscribe method provided in the communication.

Section 18 of the Aeday Membership Service Agreement describes how to change the email address we use, how to get a paper copy of a record at no charge, how to withdraw your consent to electronic records, and what you need to receive and keep them.

9. Availability and changes

We may modify, maintain, suspend, or discontinue parts of the Site from time to time.

We do not guarantee uninterrupted or error-free access.

10. No guarantee of outcome

Tax agencies control their own procedures, deadlines, decisions, assessments, and enforcement actions.

Aeday does not guarantee that a notice will be withdrawn, that an audit will be resolved in your favor, any reduction in taxes, penalties, or interest, or any particular tax result.

11. Disclaimer of warranties

To the maximum extent permitted by law, the Site is provided on an "as is" and "as available" basis.

Nothing in these Terms disclaims obligations that cannot legally be disclaimed or limits professional duties owed by an authorized representative under applicable law.

12. Limitation of liability

To the maximum extent permitted by law, Aeday will not be liable for indirect, incidental, special, exemplary, or consequential damages arising solely from your use of or inability to use the Site.

This section does not alter duties applicable to professional representation under the Membership Service Agreement or a separate professional engagement.

13. Governing law and venue

Except where mandatory consumer-protection law provides otherwise, these Terms are governed by the laws of Texas.

Any court proceeding concerning these Terms must be brought in a court of competent jurisdiction in Tarrant County, Texas, unless applicable law requires a different forum.

14. Changes to these Terms

We may update these Terms from time to time. If a change materially affects an existing paid membership, we will provide notice where required by law.

Aeday Membership Service Agreement

The agreement between you and Aeday LLC covering your membership and what representation you may receive.

Effective

About this Agreement

This Membership Service Agreement ("Agreement") is between Aeday LLC, doing business as Aeday ("Aeday," "we," "us," or "our"), and the person enrolling in an Aeday membership ("Member," "you," or "your").

This Agreement governs your recurring membership and your eligibility to receive the tax-representation services described in your applicable Plan Schedule.

1. What Aeday is

Aeday provides a prepaid membership through which eligible members may receive professional representation for certain covered IRS and state individual income-tax matters that first arise while representation coverage is active.

Aeday may provide services through employees, independent professionals, affiliated firms, or contracted attorneys, certified public accountants ("CPAs"), enrolled agents ("EAs"), or other practitioners legally authorized to perform the assigned services.

Coverage means eligibility to receive the professional services included in your Plan. It does not mean that Aeday pays or reimburses your taxes, penalties, interest, fines, judgments, settlements, or other financial losses.

2. Your Plan

Your specific benefits and exclusions are stated in the Plan Schedule displayed before enrollment. The Plan Schedule is incorporated into this Agreement.

3. Membership Start Date and Coverage Effective Date

Membership Start Date Your membership begins when Aeday successfully processes your first payment.

Your Coverage Effective Date is the day of your first successful payment.

Your first successful payment begins both your membership and your representation coverage.

A matter is not covered if it arises, is dated, is received, is initiated, or otherwise exists before your Coverage Effective Date. This includes:

  • a letter or notice you already possess;
  • a notice dated before the Coverage Effective Date;
  • an audit, examination, inquiry, or agency matter initiated before the Coverage Effective Date;
  • an agency matter of which you had actual knowledge before the Coverage Effective Date.

Aeday may request official notices, account transcripts, agency records, envelopes, electronic timestamps, or other reasonably relevant information to determine when a matter began.

A matter is not made eligible merely because you wait until after the Coverage Effective Date to submit it.

A Covered Matter may relate to a prior individual income-tax year if the tax-agency matter itself first arises on or after your Coverage Effective Date and all other eligibility requirements are satisfied. Aeday coverage is not limited to a single tax year unless your Plan Schedule expressly says otherwise.

4. Covered Matters

Subject to your Plan Schedule and all exclusions, Covered Matters may include professional representation concerning:

  • qualifying IRS notices;
  • qualifying notices from participating state individual income-tax agencies;
  • income-mismatch or underreporting correspondence;
  • correspondence examinations or audits;
  • qualifying individual income-tax examinations;
  • certain tax-identity-theft matters involving a return filed in the Member's name; and
  • directly related administrative communications included in the Plan Schedule.

5. Matters that are not covered

Unless a Plan Schedule expressly states otherwise, Aeday does not cover:

  1. any matter arising before the Coverage Effective Date;
  2. United States Tax Court, state court, federal court, bankruptcy court, or other judicial proceedings;
  3. preparing, amending, or filing a tax return;
  4. bookkeeping, accounting, payroll, or general tax-preparation services;
  5. payment or reimbursement of taxes, penalties, interest, fines, assessments, judgments, settlements, or other amounts owed;
  6. criminal tax investigations, criminal defense, or matters involving intentional tax fraud or tax evasion;
  7. matters based on knowingly false, fraudulent, forged, or materially misleading information provided by the Member;
  8. business-entity, payroll, employment, excise, estate, gift, trust, foreign, or local tax matters unless specifically included in the Plan Schedule;
  9. services Aeday or its assigned professional is not legally or ethically permitted to provide;
  10. matters where a professional conflict of interest prevents representation and no reasonably available substitute can accept the matter;
  11. matters submitted so late that a professional cannot reasonably act before a required deadline despite commercially reasonable efforts; or
  12. services specifically identified as excluded in the applicable Plan Schedule.

6. Requesting representation

If you receive a tax notice or believe a Covered Matter has begun:

  1. sign in to your Aeday account;
  2. submit a Request for Representation as soon as reasonably possible;
  3. upload the complete notice and requested records;
  4. accurately answer questions about when and how the matter began; and
  5. promptly complete any engagement letter, consent, authorization, IRS Form 2848, state power of attorney, or other document required for representation.

A membership by itself does not authorize a practitioner to act before the IRS or a state agency.

7. Coverage determination

Aeday will review a Request for Representation against the objective terms of this Agreement and the applicable Plan Schedule.

Aeday may deny a Request for Representation when facts reasonably establish that:

  • the matter is excluded;
  • the matter began before the Coverage Effective Date;
  • required eligibility information was materially false or incomplete;
  • the Member refuses to provide information reasonably necessary to evaluate or handle the matter;
  • representation would violate law, professional ethics, licensing requirements, or a conflict-of-interest rule;
  • another express exclusion applies; or
  • the Member has engaged in fraud or abuse, as determined under section 16.

Aeday does not have an unlimited discretionary right to deny an otherwise Covered Matter.

8. Member cooperation

You agree to provide complete and truthful information, promptly provide requested records, preserve notices and envelopes, respond in a timely manner, keep your contact information current, inform Aeday of new agency correspondence, meet communicated deadlines, and sign necessary authorizations.

9. No guarantee of outcome

Aeday and its professionals do not control tax-agency decisions.

No particular result is guaranteed. You remain responsible for the accuracy of your tax filings and for all amounts legally owed.

10. Professional assignment and authority

Aeday may select or reassign an authorized professional based on credentials, jurisdiction, workload, conflicts, complexity, and availability.

An assigned professional may require a separate professional engagement or power of attorney where legally or ethically necessary.

11. Professional confidentiality and privilege

Aeday protects Member information in accordance with applicable law and the Aeday Privacy Policy.

Not every communication with a tax professional is protected by attorney-client privilege. Any attorney-client, federally authorized tax-practitioner, work-product, or other privilege depends on the professional involved, the nature of the communication, and applicable law.

12. Membership price and automatic renewal

The price displayed and accepted at checkout is your membership price.

The price of each plan, its billing cadences and any introductory price are stated in the Plan Schedule. An introductory price applies only if you have not been charged for an Aeday membership before.

A monthly membership automatically renews each month until you cancel.

An annual membership is charged for the whole year at checkout and automatically renews each year until you cancel.

At checkout, Aeday will clearly disclose the amount charged today, recurring renewal amount, when recurring charges begin, and how to cancel.

By affirmatively enrolling, you authorize Aeday and its payment processor to charge your selected payment method according to those disclosed terms.

13. Payments, refunds, and cancellation

Except where required by law or in the case of a verified billing error, payments are non-refundable once processed.

This includes the introductory first payment.

You may cancel at any time through your Aeday account or another cancellation method we make available. Cancellation stops future renewal charges.

Unless applicable law or the Plan Schedule states otherwise:

  • cancellation is effective at the end of your then-current paid billing period;
  • payments already processed are not refunded; and
  • no new matter arising after coverage ends is eligible.

Once you cancel, you are not charged again, and your coverage continues through the last day of the period you have already paid for.

If Aeday accepted a Covered Matter while your coverage was active, Aeday will continue the included administrative representation for that accepted matter through the covered stage described in the Plan Schedule, even if you later cancel, unless you materially fail to cooperate, request termination, or continued representation would violate law or professional ethics.

14. Failed payments

If a payment fails, Aeday may retry the payment method as permitted by law and payment-network rules and may notify you to update your payment method.

If a renewal payment fails, your coverage continues through the last day of the period you already paid for.

A matter that first arises while your membership is paid is not denied because a later payment is past due.

A matter that first arises after the last day of the period you paid for, while a renewal payment is past due, is reviewed individually before Aeday decides whether it is covered, applying any grace period Aeday publishes.

If the payment is not made, the membership lapses. A matter that first arises after your membership has ended, outside every period you paid for, is not eligible.

15. Changes to price or material membership terms

Aeday may change membership pricing or terms prospectively.

For an existing Member, Aeday will provide advance notice of a material price increase or material reduction in recurring membership benefits where required by law.

16. Fraud and abuse

Aeday may deny a Request for Representation, and may terminate a membership, for fraud or abuse only on a documented, reasonable determination that the Member, or someone acting for the Member, has engaged in one of the following:

  • fraud;
  • a material misrepresentation, including falsifying a notice date or misrepresenting eligibility;
  • submitting fabricated or altered documents, including altered tax-agency documents;
  • concealing a matter that existed, or that the Member knew of, before the Coverage Effective Date;
  • submitting a duplicate or fictitious Request for Representation; or
  • similar abuse of the membership, such as impersonating another taxpayer or using the membership to facilitate unlawful conduct.

A person on our team makes that determination from the facts reasonably available and records the facts it rests on. Suspected fraud or abuse is referred to a person for review and is never decided automatically.

Aeday does not deny an otherwise Covered Matter, or terminate a membership, for fraud or abuse at its discretion alone.

Termination for fraud or abuse does not require Aeday to refund prior payments, except where required by law.

17. Taxes and third-party costs

Membership fees do not include taxes assessed against you, penalties or interest, filing fees, court costs, expert-witness fees, outside appraisals, third-party accounting or bookkeeping, amended-return preparation, or other third-party costs not expressly included in your Plan.

18. Electronic records and communications

You consent to receive this Agreement, Plan Schedules, billing notices, receipts, cancellation confirmations, and service communications electronically.

We send these records to the email address on your account or make them available in your Aeday account. This consent applies to them for as long as you are a Member, unless you withdraw it.

Paper copies You may ask for a paper copy of any record we have provided to you electronically by writing to support@aeday.com or to Aeday LLC, 2830 S Hulen St, Fort Worth, TX 76109. We mail it to the mailing address on your account, or to one you give us in your request. There is no fee for a paper copy.

Changing your email address To change the email address we use for your account and your records, write to support@aeday.com from the address on your account and tell us the new address. We then write to both addresses, and the change takes effect only after you reply from each of them. When it takes effect, you are signed out of every browser, a Google sign-in linked to your account is unlinked, and you sign in with the new address.

Withdrawing your consent You may withdraw your consent to receive records electronically at any time, at no charge, by writing to support@aeday.com or to Aeday LLC, 2830 S Hulen St, Fort Worth, TX 76109. Withdrawing does not end your membership, and it does not change the legal effect of any record we provided, or any signature you gave, before the withdrawal takes effect. After it takes effect, we mail you, at no charge, a paper copy of each record this section lists that we send you by email; our emails to you continue, and paper reaches you more slowly than email. Sign-in codes and account-security messages are sent by email only, because they are how you sign in.

What you need To receive and keep electronic records you need a device with a current web browser that can display, save and print web pages and PDF files, and an email account that receives messages at the address on your account. If these requirements change in a way that could stop you from reading or keeping your records, we will tell you before the change, and you may withdraw this consent without charge.

A form you sign electronically through your account, such as IRS Form 8821, carries its own consent to sign electronically, which says how to sign it on paper instead and how to get a paper copy.

19. Privacy

Our collection and use of personal information are described in the Aeday Privacy Policy.

Tax documents should be submitted only through methods Aeday designates for secure document transmission.

20. Governing law

Except where mandatory law provides otherwise, this Agreement is governed by the laws of Texas.

Any court proceeding concerning this Agreement must be brought in a court of competent jurisdiction in Tarrant County, Texas, unless applicable law requires a different forum.

21. Entire agreement and order of precedence

Your membership agreement consists of:

  1. the checkout disclosures you affirmatively accepted;
  2. the applicable Plan Schedule;
  3. this Membership Service Agreement;
  4. the Payments, Cancellation & Refund Policy; and
  5. any matter-specific professional engagement required for a Covered Matter.

For pricing and renewal terms, the checkout terms you accepted control.

For the scope of Plan benefits, the Plan Schedule controls.

22. Severability

If a provision of this Agreement is held unenforceable, the remaining provisions remain in effect to the extent permitted by law.

When coverage begins

Your membership begins when your first successful payment is processed.

Representation coverage begins on the day of that payment.

A matter relating to a prior tax year may still qualify if the agency matter itself first arises after your Coverage Effective Date and no other exclusion applies.

What's included

Subject to the Membership Service Agreement, both plans include professional administrative representation for qualifying individual income-tax matters such as:

IRS and state tax notices Professional review and response to qualifying notices from the IRS and participating state individual income-tax agencies.

Income mismatch and underreporting notices Qualifying notices stating that income or information reported to a tax agency does not match the agency's records.

Correspondence examinations Qualifying audits or examinations conducted primarily through mail or electronic correspondence.

Individual income-tax examinations Professional representation for qualifying administrative IRS or participating-state examinations included within your Plan.

Office and field examinations Qualifying examinations the IRS or a participating state agency holds in person, at an agency office or at your home or place of business. A person on our team reviews each such request that falls within your coverage dates, before Aeday decides whether it is covered.

Tax identity theft Qualifying administrative representation when another person has filed or attempted to file an individual income-tax return using the Member's identity.

Professional communication with the tax agency Where appropriate and legally authorized, an assigned professional may communicate with the agency, prepare responses, request records, and handle covered administrative correspondence for you.

Aeday Premium also includes the matters listed for it under "What depends on your plan".

Coverage limits

Aeday applies no coverage limit that is not stated in this Plan Schedule or the Membership Service Agreement.

Neither plan limits the practitioner time spent on a Covered Matter.

Neither plan excludes a matter because of how many years ago the tax year it concerns ended.

Who may represent you

Aeday may assign an attorney, CPA, EA, or other practitioner legally authorized to provide the required representation.

You may be required to sign an IRS Form 2848, state power of attorney, or other authorization before a professional can communicate with the agency on your behalf.

What's not included

Neither plan includes:

  • any matter beginning before the Coverage Effective Date;
  • Tax Court, state court, federal court, bankruptcy court, or other court proceedings;
  • preparing, amending, or filing tax returns;
  • bookkeeping or accounting work;
  • payment or reimbursement of taxes, penalties, interest, fines, or assessments;
  • criminal tax investigations or criminal defense;
  • intentional tax fraud or tax-evasion matters;
  • business-entity returns or entity-level matters;
  • payroll, employment, excise, estate, gift, trust, foreign, or local tax matters;
  • general tax planning unrelated to a Covered Matter;
  • third-party expert, appraisal, filing, or court costs unless expressly stated; or
  • any exclusion stated in the Membership Service Agreement.

Aeday Standard also does not include the matters listed for it under "What depends on your plan".

Your responsibilities

To receive representation for a Covered Matter, you must submit the complete notice promptly, provide truthful and complete information, provide requested records, sign required authorizations, respond to the assigned professional in a timely manner, and keep Aeday informed of new agency correspondence.

Price and renewal

Your exact price is the price shown and accepted at checkout.

The price of each plan is stated under "What depends on your plan".

A monthly membership automatically renews each month until you cancel.

An annual membership is charged for the whole year at checkout and automatically renews each year until you cancel.

Payments are non-refundable once processed, except where required by law or for a verified billing error.

You may cancel at any time to prevent future renewal charges. Cancellation does not refund payments already processed.

Your paid-through date

Paid-through date The last day of the period you have already paid for.

Once you cancel, you are not charged again, and your coverage continues through the last day of the period you have already paid for.

If a renewal payment fails, your coverage continues through the last day of the period you already paid for.

A matter that first arises while your membership is paid is not denied because a later payment is past due.
